Incorporation Of A Private Limited Company In India
REQUIRMENT:
• Minimum 2 Shareholders
• Minimum 2 Directors
• Maximum 200 Shareholders
• Minimum Paid-Up Capital 1,00,000 ( Not Mandatory)
• At least 1 of the Directors shall be an Indian Resident
• DIN (Director Identification Number) for all the Directors
• DSC (Digital Signature Certificate) for all the Directors

1. TO OBTAIN DIGITAL SIGNATURE CERTIFICATE:

5 Passport size photo graphs of proposed directors for the purposes of obtaining DSC, DIN and Incorporation Documents.
PHOTO ID (Any One)
• Self Attested Copy of Pan Card
• Self Attested Copy of Passport
• Self Attested Copy of Driving license
• Self Attested Copy of Bank Passbook
ADDRESS PROOF (Any One)
• Self Attested Copy of Passport
• Self Attested Copy of Driving License
• Self Attested Copy of Voters Id
• Self Attested Copy of Electricity/Water bill
• Self Attested Copy of Bank statement

• Mail id which would be use for communication purpose.
• Mobile Number of proposed directors.
• Landline Number
• of Years of stay at present address.
Both Id Proof and Address Proof should self certified by Applicant.
3. APPLICATION FOR NAME OF THE COMPANY:
Application to be made for name of the company in Form No INC-1
Digital signatures of any one of the proposed director.
Following Details shall be filled in form; Tentative proposed names (Six)
• Details of proposed promoters
• Details of proposed directors
• Short description of object of proposed
• Name of proposed company( maximum six name in order of preference)
• Name of state where registered office of the proposed company be situated
Filling of Form INC-7, INC-22 and DIR-12 after receipt of name approval from ROC.
• PAN of the proposed Directors.
• Identity proof of the subscribers/ directors i.e. Passport/ voter id/ ration card/ Aadhar card
• Proof of residency of the subscriber which includes bank statement or electricity bill or telephone bill or mobile bill of not later than 2 months old
• Details of proposed authorized share capital and paid-up share capital.
• Conveyance deed/ lease deed/ Rent agreement along with rent receipts for the proposed registered office of the company.
• NOC from the owner of business premises
• Electricity bill/ Telephone bill/ Mobile bill/ Gas bill not later than 2 months old
PROCEDURE:
START
Obtain Digital Signature Certificate (DSC) for all the proposed directors of the Indian company
Obtain Director Identification Number (DIN) for all the proposed directors of the Indian company
File an application seeking approval for the proposed name of the Company
Draw the Memorandum of Association and Article of Association of the Company
Have Minimum 2 persons to subscribe to the Memorandum & Articles of Association and preparation of other documents
Payment of Registration Fees to the ROC and submission of all the Documents
Receipt of Certificate of Incorporation
